The merger control leaded by the President of the Office of Competition and Consumer Protection with particular regard to joint ventures, as exemplified by DKK-178/2020 decision

Niniejsza praca koncentruje się na problematyce kontroli koncentracji przedsiębiorców. Rozważania skupiają się na analizie unormowania wspólnego przedsiębiorcy (joint venture) w polskim porządku prawnym. Problemem badawczym zawartym w pracy jest poszukiwanie definicji joint venture wobec braku definicji legalnej w Ustawie o ochronie konkurencji i konsumentów. Przywołana w pracy decyzja stanowi w pracy przykład rozstrzygnięcia Prezesa UOKiK jako polskiego organu antymonopolowego w zakresie oceny przedsięwzięcia Nord Stream 2 jako dokonania koncentracji typu joint venture, tj. utworzenia wspólnego przedsiębiorcy.

This thesis deals with merger control. The discussion focuses on the examination of the rules governing the joint venture in the Polish legal system. The research problem of the thesis is the search for a definition of the term “joint venture”, since there is no legal definition in the Law on Competition and Consumer Protection. The decision cited in the paper is an example of the decision of the President of the Polish Antitrust Office known as UOKiK regarding the assessment of Nord Stream 2 project as a joint venture, i. e. the creation of a seperate company - as in the title od the thesis - "joint venture".
