Crossing competence by the body of the legal person

Apart from natural persons legal persons are appearing in the contemporary legal turnover. They are acting by their bodies. Body of the legal person can acting outside the scope of its authority or without the authorisation. Such a situation can take place when e.g. acting as the persons serving as the body of the legal person will be dismissed, and still are taking of acts in law with third parties on behalf of the legal person or the management authority effected the act in law with third parties without the approval required by the act or articles of association of other body of the legal person. In such situations the law provides for determined sanctions of efective acts in law of the alleged body of the legal person. An attempt to determine is a purpose of the work whether acting with crossing of competence by the body of the legal person will result in external relations in the unimportance of acts in law whether can with other type of the sanction.

We współczesnym obrocie prawnym oprócz osób fizycznych występują osoby prawne. Działają one przez swoje organy. Organ osoby prawnej, podobnie jak osoba fizyczna - pełnomocnik, działając, może przekroczyć zakres swojego umocowana lub działać bez umocowania. Sytuacja taka może mieć miejsce gdy np. osoby pełniące funkcję organu (piastunowie organu) zostaną odwołani ze stanowiska, a nadal podejmują czynności prawnych z osobami trzecimi w imieniu osoby prawnej lub organ zarządzający dokonał czynności prawnej z osobą trzecią bez wymaganej przez ustawę lub statut zgody innego organu osoby prawnej. W takich sytuacjach prawo przewiduje określone sankcje wadliwych czynności prawnych rzekomego organu. Celem pracy jest próba określenia czy działanie z przekroczeniem kompetencji przez organ osoby prawnej będzie skutkowało w stosunkach zewnętrznych nieważnością czynności prawnych czy może innym rodzajem sankcji.
