Corporate Governance of State-Owned Enterprises

This paper explores which processes were at play in evolution of corporate governance standards in Polish state-owned enterprises and how those standards have evolved in time. I tried to divide the standards discussed into three categories in this way, that the scope of the former is within of the scope of the latter. MST's possibility to enforce a control on state-owned enterprises is a part of corporate governance system, whereas CG constitutes an element of sustainable and responsible investment (SRI), as well as corporate social responsibility (CSR). Then, after having established this scheme, I aimed to evaluate the level of corporate governance of Polish SOE and to consider what should be done to enhance some improvements.

Celem niniejszej pracy jest dokonanie oceny poziomu ładu korporacyjnego w polskich spółkach z udziałem kapitałowym Skarbu Państwa. Całość pracy została podzielona na trzy działy, z których wszystkie traktują o zarządzaniu i nadzorze nad przedsiębiorstwami publicznymi, jednak każdy prezentuje spojrzenie z odiennej perspektywy. Nadzór właścicielski wchodzi w obszar nadzoru korporacyjnego, który z kolei jest elementem nadzoru inwestorskiego, rozumianego jako czynnik odpowiedzialnego i zrównoważonego inwestowania (SRI) oraz determinanta wdrażania zasad społecznej odpowiedzialności biznesu (CSR). Ustaliwszy taki schemat, starałam się dokonać kompleksowej analizy poziomu ładu korporacyjnego, który w polskim systemie podlega obecnie intensywnej transformacji systemowej, tak na poziomie legislacyjnym, jak i w sferze prawnej.
