Zaskarżanie uchwał organów spółek kapitałowych

The theme of my work is challenging the resolutions of assemblies capital companies. The first chapter defines the concept of the resolution, indicates types of resolutions and the most controversial part - the resolution nonexistent. In the following sections legitimized actors, who can challenge resolutions and the conditions that must be met in order to bring an action to court are discussed. Subsequently, the reasons and examples of invalid resolutions are presented. In addition, questions are raised through the term of appeal and power of attorney. At the conclusion, types of judgments and the nature of sanctions are described.

Tematem mojej pracy jest zaskarżanie uchwał zgromadzeń spółek kapitałowych. Pierwszy rozdział zawiera definicję uchwały, wskazuje rodzaje uchwał i ich najbardziej kontrowersyjną postać - uchwałę nieistniejącą. W następnych rozdziałach omówione zostały podmioty legitymowane do zaskarżania uchwał, oraz przesłanki jakie muszą one spełnić, by wnieść powództwo do sądu. Następnie przedstawione zostały przyczyny i przykłady uchwał wzruszalnych oraz nieważnych. Ponadto poruszone zostały kwestie terminu zaskarżenia oraz pełnomocnictwa. Na zakończenie zaprezentowane zostały rodzaje wyroków oraz charakter sankcji.
