Transformation a sole proprietorship into a 'Limited Liability Company'

W dniu 25 marca 2011 r. parlament uchwalił nową ustawę w celu zmniejszania barier dla obywateli i przedsiębiorców oraz aby budować "sprawne państwo". Wśród kilku innych ustaw, zawarto możliwość transformacji przedsiębiorcy - osoby fizycznej prowadzącej działalność gospodarczą we własnym imieniu - w spółka z ograniczoną odpowiedzialnością. Niniejsza rozprawa ma na celu odpowiedzieć na pytanie, jak wygląda ta procedura i jak jest podstawowa zasada na jakiej opiera się ta transformacja. Praca skupia się na zarówno na aspektach materialnych jak i proceduralnych, i sygnalizując miejscami również pewne kwestie praktyczne.

On 25 March 2011, parliament passed the new bill to reduce the barriers for citizens and business and to build up an ‘efficient state’. Among several other acts, transformation of single entrepreneurship as a natural person conducting business activitieson their behalf into a 'Limited Liability Company' became possible. This dissertation aims at answering the question about how this process looks like in practice and what the basic principle of this transoformation is. The thesis focuses on the both substantive and procedural law aspects in this area, included selected practical issues.
