Legal protection of a creditor of a limited liability company in case of striking off the company from the Register of Entrepreneurs

The subject of this thesis is to provide a comprehensive overview of issues related to the legal protections of a creditor of a limited liability company in case of striking off the company from the Register of Entrepreneurs. The author extensively discloses the rules of liability of the members of the management board (liquidators) as provided for in art. 299 of the Code of Commercial Partnerships and Companies and art. 21 para 3 of the Insolvency Law. In regard to that liability, the author presents the opinions of jurisprudence from case law and legal doctrine literature. The author specifically presents also the general rule of liability (art. 415 of the Civil Code) and the rules of liability of the State Treasury as provided for in art. 25e of the Act on the KRS (Polish Court Registry of Legal Entities).

Przedmiotem niniejszej pracy jest kompleksowe omówienie zagadnień związanych ze środkami ochrony prawnej wierzyciela spółki z ograniczoną odpowiedzialnością w przypadku jej wykreślenia z rejestru przedsiębiorców Krajowego Rejestru Sądowego. Autor szczegółowo opisuje regulacje odpowiedzialności członków zarządu (likwidatorów) spółki z ograniczoną odpowiedzialnością określonej w art. 299 Kodeksu spółek handlowych oraz art. 21 ust. 3 ustawy Prawo upadłościowe. Autor szeroko omawia przedmiotową problematykę odwołując się do poglądów wskazanych w orzecznictwie oraz w literaturze przedmiotu. Autor porusza ponadto kwestie uprawnień wierzyciela opartych na ogólnej podstawie odpowiedzialności cywilnej (art. 415 Kodeksu cywilnego) oraz odpowiedzialności Skarbu Państwa przewidzianej w art. 25e ustawy o Krajowym Rejestrze Sądowym.
