Contracts and agreements between shareholders in commercial law companies

This master thesis aims todescribing the commonly occurring agreements between shareholders of commercial law companies in separation from the company's articles of association. The work draws attention to the admissibility of such agreements on concrete examples, in particular agreements limiting the sale of shares and voting arrangements, together with an indication of the significant problems arising from this background and the boundary freedoms of contracts. In my work I also analyzed the investment agreements concluded in companies as well as agreements concluded by the company itself with its shareholders (shareholders). The work contains various interpretations of legal doctrine and case law.

Niniejsza praca magisterska ma na celu opisanie powszechnie występujących porozumień zawieranych pomiędzy wspólnikami (akcjonariuszami) spółek prawa handlowego w oderwaniu od umów (statutów) spółek. Praca przybliża dopuszczalność tego typu porozumień na konkretnych przykładach, zwłaszcza porozumień ograniczajcych zbywanie akcji i porozumień do głosowania, wraz ze wskazaniem istotnych problemów wynikających na tym tle oraz związanych z granicą wolności umów. W swojej pracy poddałem również analizie umowy inwestycyjne zawierane w spółkach a także umowy zawierane przez samą spółkę z jej wspólnikami (akcjonariuszami). W pracy znajdują się różne interpretacje doktryny prawniczej a także i orzecznictwa.
