Industrial property as a non-cash contribution to a commercial law company

The purpose of this work is an attempt to present industrial property rights which may be the subject of a non-cash contribution to a commercial law company. The author's reflections will in particular focus on the industrial property rights ability to be a subject of a non-cash contribution and their valuation methods. The issue of factors that affect the value of the industrial property right is also addressed. The issue of the expiry of industrial property rights, which were contributed to the company and the consequences thereof, will be slightly outlined.

Celem niniejszej pracy jest próba przedstawienia praw własności przemysłowej, które mogą stanowić przedmiot wkładu niepieniężnego do spółki prawa handlowego. Rozważania autora w szczególności skupią się na zdolności aportowej praw własności przemysłowej jak i metodach ich wyceny. Poruszona zostanie również kwestia czynników, które mają wpływ na wartość wycenianego prawa. W nieznacznym stopniu zostanie zarysowana problematyka wygaśnięcia praw własności przemysłowej, które to zostały wniesione do spółki i skutki z tym związane.
