Non-disclosure agreements in mutually professional relationships

Celem pracy jest omówienie kwestii związanych z umową o poufność jako środkiem ochrony tajemnicy przedsiębiorstwa. W rozdziale 1. omówione zostały podstawowe pojęcia używane w pracy, takie jak "podmioty profesjonalne" oraz "informacje poufne". W rozdziale 2. przedstawiono obowiązek zachowania poufności wynikający z przepisów prawa, na podstawie regulacji wynikających z kodeksu cywilnego, ustawy o zwalczaniu nieuczciwej konkurencji, kodeksu spółek handlowych, ustawy prawo prasowego, ustawy prawo własności przemysłowej oraz kodeksu pracy. W rozdziale 3. scharakteryzowano umowy o poufność, w szczególności w świetle art. 353(1) k.c. Omówione zostały przykładowe umowy o poufność i klauzule poufności. Rozdział 4. traktuje o odpowiedzialności za naruszenie obowiązku zachowania poufności. W rozdziale 5. wskazane zostały regulacje proceduralne mające na celu ochronę tajemnic przedsiębiorstwa.

The aim of the thesis is to discuss issues associated with non-disclosure agreements as protection measure for confidential business information. In the first chapter the basic terms, such as "business entities" and "confidential information" were described. In the second chapter the obligation to preserve confidentiality arising from the legal regulation was presented, basing on the Civil Code, Suppression of Unfair Competition Act, the Commercial Companies Code, Press Law, Industrial Property Law and the Labor Code. In the third chapter the non-disclosure agreements were characterized, especially in the light of article 353(1) of the Civil Code. Also, examples of NDAs and confidentiality clauses were described. Fourth chapter contains an overview of the liability for the violation of the legal obligation of confidentiality. In the fifth chapter the procedural regulation that are established to protect the confidential information were pointed out.
