Regulation of short selling in the European Union

Praca ta analizuje ostatnie zmiany regulacyjne w zakresie krótkiej sprzedaży w Unii Europejskiej. Temat krótkiej sprzedaży zdobył szeroki rozgłos po niedawnych wydarzeniach które miały miejsce w Stanach Zjednoczonych, a szczególnie po słynnych wzrostach cen akcji Gamestop. W niniejszej pracy autor analizuje sposoby i mechanizmy działanie krótkiej sprzedaży oraz w jaki sposób oddziaływuje ona na funkcjonowanie rynków finansowych. W dalszej części pracy przedstawione są kluczowe rozwiązania europejskiej regulacji oraz argumenty ekonomiczne i prawne popierające tą regulację jak i stojące wobec niej w opozycji. Przedstawione jest także ustawodawstwo antymanipulacyjne, które pełni kluczową rolę w ograniczaniu działań niezgodnych z prawem. W ostatniej części pracy poruszony jest problem nagiej krótkiej sprzedaży, która poddawana jest największej krytyce oraz przedstawiony jej wpływ na kreowanie prawidłowego działania rynków finansowych.

This work analyzes recent regulatory changes in the field of short selling in the European Union.The topic of short selling has gained widespread publicity after the recent events in the United States, especially the famous Gamestop share price increases.In this work, the author analyzes the ways and mechanisms of short selling and how it affects the functioning of financial markets. In the further part of the work, the key solutions of the European regulation as well as economic and legal arguments supporting and opposing this regulation are presented. It also presents anti-manipulation legislation that plays a key role in reducing illegal activities. The last part of the work deals with the problem of naked short selling, which is the subject of the greatest criticism, and its impact on the creation of the proper operation of financial markets.
