A gap in the legal situation of heirs joining a general partnerhsip

The subject matter of the paper includes a systemic view of the problem of the death of a partner in a personal partnership, with particular emphasis on the general partnership. A comparative analysis of the European legal systems (Austrian, French, German and Swiss) is made, and then referred to the Polish legal system. The regulation of Article 583 of the CCC (Company Commercial Code), the construction of which differs from European solutions, was included as the main subject of consideration. This state of art is evaluated negatively. Functional comparative work shows that the referenced regulation creates gap in the system of succession in personal partnerships.

Problematyka tekstu obejmuje systemowe spojrzenie na problematykę śmierci wspólnika spółki osobowej, ze szczególnym uwzględnieniem spółki jawnej. Dokonana została analiza porównawcza systemów europejskich (austriackiego, francuskiego, niemieckiego i szwajcarskiego), a następnie odniesiona do systemu polskiego. Jako główny przedmiot rozważań objęto regulację art. 583 KSH, którego konstrukcja różni się od rozwiązań europejskich. Zjawisko to jest oceniane negatywnie. Komparatystyka funkcjonalna wykazuje, że powołana regulacja tworzy swoistą lukę w systemie sukcesji w spółek osobowych.
